SUMMARY/GENERAL DESCRIPTION OF JOB:
The General Counsel is a key member of the Chugach CEO’s executive l eadership team ( the Executive Committee) which drives the company to successfull y execute the company vision. Serves as ge! neral counsel and chief legal officer for Chugach corporation . Provides legal advice and consultation to CEO , Board of Directors, E xecutive C ommittee and company businesses , department staffs and subsidiaries .

E SSENTIAL DUTIES & JOB FUNCTIONS / ACCOUNTABLE FOR:

  • Serves as one of only six key leader s in the Executive Committee, and is responsible for visioning and executing business strategies to attain Chugach success for the corporation overall and it’s businesses and subsid i aries .
  • Establishes and maintains legal vision, goals and objectives for the corporation and the Legal D epartment, consistent with the Chugach five year plan, shorter term (annual) scorecards and CEO direction.
  • Assumes ultimate responsibility for ensuring that the corporation conducts its business in compliance with applicable laws and regulations.
  • Advises t he CEO, Board of Directors and E xecutive Committee on legal matters through o! ral and written opinions; drafts legal opinions and memoranda; company ! legal policies, resolutions; and other legal documents. Attends meetings of boards and committees and prepares and delivers presentations as required.
  • Directs the handling of legal settlements and legal defenses of claims against the company and oversees all litigation filed on behalf of or against the company. Prepares a variety of reports related to legal activities and litigation cases.
  • Oversees contract compliance and implementation of best practices for this function. Reviews, revises and drafts both commercial and government contracts; provides advice to business units relating to contracts administration.
  • Monitors industry legal developments and reviews and interprets current statutes , regulations and ordinances, proposed legislation, judicial decisions, and legal opinions that may impact the company. Recommends appropriate action to the CEO and Board of Directors.
  • Provides legal vision and direction for company’s risk strategie! s including overall risk assessment and mitigation approaches.
ESSENTIAL DUTIES & JOB FUNCTIONS / ACCOUNTABLE FOR (continued):

  • Ensures that the company’s interests are protected by foreseeing potential liabilities with regard to all company contracts and ongoing litigation and works to mitigate the company’s exposure to legal challenges.
  • Directs the Legal D epartment’s activities and staff, including the training, supervision, and evaluation of attorneys, as well as technical and administrative staff. Reviews the efficiency of the Legal Department’s organizational structure and evaluates and implements processes and procedures to improve the department’s effectiveness.
  • Appears in Federal and State courts as a legal representative of the company.
  • Selects, retains, manages and evaluates external counsel hired in connection with specific projects or legal claims.
  • Responds to, or reviews and approves, al! l responses to requests for information and records under federal and s! tate legislation.
  • Provides legal advice and assistance in labor negotiations.
  • Develops and recommends the annual budget for the Legal Department.
  • Develops strategies to ensure company- wide compliance with legal requirements. As necessary reports to the Board concerning pending legislation and litigation, as well as the company’s obligation to comply with all applicable Federal, state, and local laws and regulations. Prepares or reviews staff reports related to Board agenda items as required.
  • Directs the coordination of Legal Department activities with other agencies and appropriate community organizations. Represents the company at meetings of legislative bodies, and community forums, as required.
  • Contracts with and interfaces with external counsel as needed, including maintaining regular interface with outside counsel representing the Board of Directors.
  • Extended hours and travel may be required.
JOB RE! QUIREMENTS:
MANDATORY Experience:
  • Membership in the Alaska State Bar, Juris Doctor from an accredited law school.
  • Ten years in the practice of corporate law inside a corporation that included litigation. Must have an understanding of laws related to running a large, complex, multi-business services company, labor relations and procurement as well as experience in advising a public or private Board.
  • At least three y ears experience as corporate in- house counsel for both federal government contracting and commercial business entities.
  • Experience with and thorough understanding of rules, regulations and nuances of an Alaskan Native corporation and related regulatory environment.
  • At least three years experience directing subordinate attorneys and the professional and administrative staff of a law firm or legal department, and two y ear(s) in a legal capacity .
Knowledge Of: Principles and practic! es of civil, constitutional, and administrative law applicable to corpo! rate government and commercial business operations; State and Federal laws and statutes affecting company operations; conflict of interest laws and principles; state and federal environmental laws and regulations; municipal law and government finance; understanding of judicial proceedings at the administrative, trial, and appellate levels; the Rules of Evidence; principles, methods, materials, a nd practices of legal research , regulatory issues related to Alaskan Native corporation business operations; management and supervisory techniques applicable to a professional law office or legal department; and proficiency in Microsoft office suite software.

Ability To : Demonstrate unquestioned ethics and integrity ; work collaboratively with Chugach leadership ; study, learn, and apply knowledge of company operations at a level required to render valid and reliable legal advice; analyze, evaluate, and organize facts, evidence and precedents, and communicate such ! materials both orally, and in clear, written and legal form; analyze and evaluate a wide variety of legal documents and instruments; draft legal instruments such as resolutions, ordinances, contracts, and other pertinent documents; make effective court and hearing presentations; direct, motivate, train, and supervise the work of assigned legal, professional, and administrative staff serving as a change agent when necessary; establish and maintain effective working and professional relationships with the Executive leadership and Board of Directors, a diverse variety of staff, the legal community, and key customers ; express viewpoints while maintaining an openness to others’ opinions.
