search for two contracts attorney. This is an excellent

The Contract Attorney is responsible to provide legal
service and counsel on business activities conducted by
the company to members of senior and legal department
management, with primary concentration on contract
negotiations, while working closely with management,
sales, and operations personnel to advise and counsel
them.

PRIMARY DUTIES AND RESPONSIBILITIES/ESSENTIAL FUNCTIONS

  • Manage a contract review process including
participation in the setting of policies and procedures
  • Negotiate, draft and review various agreements
(including customer and vendor contracts) and proposals
for Company operations in US and Canada
  • Review and assist Company personnel in addressing bid
and contract disputes, draft correspondence to customers
related to bid and contract disputes and advise sales !
and operations personnel on risks associated with
projects and how to structure contracts to minimize risk
  • Conduct phone and live training to Company personnel
on contract policies and review procedures. Provide
training, guidance and feedback to coworkers in contract
review procedure and best practices
  • Monitor, manage and modify contracts on a regular
basis taking into account changes to the law, industry
and/or business practice. Periodically review and revise
Company standard contracts and draft contracts for
specific situations where a Company standard agreement
cannot be use or is not applicable
  • Draft, review and negotiate access agreements for
access to third party sites
  • Assist with management of environmental matters
  • Review auditor information requests for environmental
  • Review and advise Company personnel on environmental
d! isputes with third parties, correspond with outside
counsel on such! disputes
  • Review notices of violation issued by regulatory
authorities, work with Company personnel and/or outside
counsel to respond to and defend against the same.
Review document requests made by regulatory authorities
or other third parties and compile responses to the same
  • Anticipate and guard against legal risks involving the
Company.
  • Respond to calls made to Company's ethics hotline and
investigate allegations where appropriate
  • Prepare and submit annual disclosure statements in
order to maintain various company permits and/or
licenses. Provide guidance and assistance to compliance
personnel with license applications, permit applications
and/or security clearance documents
  • Coordinate annual submission of ethics adherence
statements as required by Clean Harbors' policy and
review potential conflicts disclosed in annual
! submission
  • Review and revise Clean Harbors' Record Retention
Schedule and Policy and advise employees as to
application of Schedule and Policy
  • Performs other duties and tasks as assigned from time
to time by management and will be required by the needs
of the Clean Harbors business
  • Ensures Health and Safety is the number one goal by
following policies, processes, and acting in a safe
manner at all times

EDUCATION/KNOWLEDGE
JD and admitted to a state bar
New graduates considered, but must be pending November
announcement to state bar

EXPERIENCE
1-2 years experience nice, but not required.
Corporate, commercial and contractual legal practice
experience
REQUIRED LICENSE(S)/ENDORSEMENT(S)
Admitted to the Bar (Preferably ! Massachusetts) or
pending November announcement
COMPETENCIES
  • Excellent interpersonal, organizational, writing and
communication skill
  • Strong PC skills, knowledge of Word, Excel and Outlook
a plus
  • Ability to work independently with minimal supervision
and/or ongoing direction
  • Willingness to perform infrequent travel as and when
require
  • Able to perform multiple task
  • Able to work with short lead time
  • Able to meet tight deadline
  • Knowledge of Westlaw a plus
PHYSICAL REQUIREMENTS
  • Sitting, acuity, speaking and listening
  • Standing, grasping and reaching
  • Walking, stooping and crouching
  • Lifting, pulling and/or pushing or carrying up to 10
lbs.
