SUMMARY PARAGRAPH OF JOB RESPONSIBILITIES
The Clean Harbors Legal team is growing! We are in a
search for two contracts attorney. This is an excellent
o! pportunity for someone with their JD and who recently
was admitted to the bar OR a new graduate, but must be
pending the November announcement to the state bar. Join

The Contract Attorney is responsible to provide legal
service and counsel on business activities conducted by
the company to members of senior and legal department
management, with primary concentration on contract
negotiations, while working closely with management,
sales, and operations personnel to advise and counsel
them.

PRIMARY DUTIES AND RESPONSIBILITIES/ESSENTIAL FUNCTIONS
- Manage a contract review process including
- Negotiate, draft and review various agreements
for Company operations in US and Canada
- Review and assist Company personnel in addressing bid
related to bid and contract disputes and advise sales !
and operations personnel on risks associated with
projects and how to structure contracts to minimize risk
- Conduct phone and live training to Company personnel
training, guidance and feedback to coworkers in contract
review procedure and best practices
- Monitor, manage and modify contracts on a regular
and/or business practice. Periodically review and revise
Company standard contracts and draft contracts for
specific situations where a Company standard agreement
cannot be use or is not applicable
- Draft, review and negotiate access agreements for
- Assist with management of environmental matters
- Review auditor information requests for environmental
- Review and advise Company personnel on environmental
counsel on such! disputes
- Review notices of violation issued by regulatory
counsel to respond to and defend against the same.
Review document requests made by regulatory authorities
or other third parties and compile responses to the same
- Anticipate and guard against legal risks involving the
- Respond to calls made to Company's ethics hotline and
- Prepare and submit annual disclosure statements in
licenses. Provide guidance and assistance to compliance
personnel with license applications, permit applications
and/or security clearance documents
- Coordinate annual submission of ethics adherence
review potential conflicts disclosed in annual
! submission
- Review and revise Clean Harbors' Record Retention
application of Schedule and Policy
- Performs other duties and tasks as assigned from time
of the Clean Harbors business
- Ensures Health and Safety is the number one goal by
manner at all times

EDUCATION/KNOWLEDGE
JD and admitted to a state bar
New graduates considered, but must be pending November
announcement to state bar

EXPERIENCE
1-2 years experience nice, but not required.
Corporate, commercial and contractual legal practice
experience
REQUIRED LICENSE(S)/ENDORSEMENT(S)
Admitted to the Bar (Preferably ! Massachusetts) or
pending November announcement
COMPETENCIES
- Excellent interpersonal, organizational, writing and
- Strong PC skills, knowledge of Word, Excel and Outlook
- Ability to work independently with minimal supervision
- Willingness to perform infrequent travel as and when
- Able to perform multiple task
- Able to work with short lead time
- Able to meet tight deadline
- Knowledge of Westlaw a plus
